Welcome to Your Diaspora Hub. These Terms of Service (‘Terms’) govern your access to and use of our platform, website, mobile applications, and related services (collectively, the ‘Services’). You consent to these Terms by accessing or using our Services.

By creating an account, accessing, or using Your Diaspora Hub, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using our Services on behalf of an organization, you are indicating that you have the authority to bind that organization to these terms.

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our platform and updating the ‘Last Updated’ date. Your continued use of the Services after such changes constitutes your acceptance of the modified Terms.

2. Eligibility

You may not create an account if you have been previously banned from our Services. You may not create multiple accounts to evade bans or restrictions. You may not transfer or sell your account to another person.

  • Impersonating any person or entity or misrepresenting your affiliation with any person or entity
  • Posting or sharing content that infringes any patent, trademark, trade secret, copyright, or other intellectual property rights
  • Distributing spam, unsolicited advertising, or promotional materials
  • Collecting or storing personal information about other users without their consent
  • Interfering with or disrupting the Services or servers or networks connected to the Services
  • Using any automated systems (bots, scrapers, etc.) to access the Services without our express written permission
  • Attempting to gain unauthorized access to any portion of the Services or other users' accounts
  • Engaging in any activity that could damage, disable, or impair the Services
  • Using the Services for any commercial purpose without our prior written consent

5. User Content

5.1 Your Content

You retain ownership of any content you post, upload, or share on our Services (‘User Content’). However, by posting User Content, you grant us a worldwide, non-exclusive, royalty-free, sublicensable, and transferable license to use, reproduce, distribute, prepare derivative works of, display, and perform your User Content in connection with the Services and our business operations.

5.2 Content Responsibility

You are solely responsible for your User Content and the consequences of posting or publishing it. You guarantee that you own or have the rights to post your User Content and that it doesn't violate these Terms or any laws.

5.3 Content Moderation

We reserve the right, and have the obligation, to monitor, review, remove, or modify User Content at our sole discretion. We may remove content that violates these Terms or is otherwise objectionable. We are not responsible for any failure or delay in removing such content.

5.4 Backup

You are responsible for maintaining backups of your User Content. We are not responsible for any loss or corruption of User Content, or for any costs or expenses associated with backing up or restoring User Content.

6. Intellectual Property Rights

6.1 Our Rights

The Services and their entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, and audio, and the design, selection, and arrangement thereof) are owned by Your Diaspora Hub, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property laws.

6.2 Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Services for your personal, non-commercial use. This license does not include any right to resale or commercial use of the Services or their contents.

6.3 Trademarks

Your Diaspora Hub name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Your Diaspora Hub or its affiliates. You may not use such marks without our prior written permission. All other names, logos, product and service names, designs, and slogans on the Services are the trademarks of their respective owners.

7. Copyright Infringement and DMCA Policy

We respect the intellectual property rights of others and expect our users to do the same. If you believe that your copyrighted work has been copied in a way that constitutes copyright infringement and is accessible on the Services, please notify our copyright agent with the following information:

  • Identification of the copyrighted work claimed to have been infringed
  • Identification of the material that is claimed to be infringing and information reasonably sufficient to permit us to locate the material
  • Your contact information (address, telephone number, and email address)
  • A statement that you have a good faith belief that use of the material is not authorized by the copyright owner
  • A statement that the information in the notification is accurate and, under penalty of perjury, that you are authorized to act on behalf of the copyright owner

10. Payments and Subscriptions

10.1 Fees

Certain features of the Services may require payment of fees. You agree to pay all applicable fees as described on the Services at the time you purchase access to such features. All fees are in GBP unless otherwise stated and are non-refundable except as required by law or as expressly stated in these Terms.

10.2 Subscriptions

Some services may be offered on a subscription basis. Subscriptions automatically renew unless you cancel before the renewal date. You authorize us to charge your payment method for the renewal fee. You may cancel your subscription at any time through your account settings.

10.3 Price Changes

We reserve the right to change our fees at any time. We will provide you with reasonable notice of any fee changes. Your continued use of the Services after the fee change goes into effect constitutes your agreement to pay the modified fee.

11. Termination

11.1 Termination by You

You may terminate your account at any time by following the account deletion process in your account settings. Upon termination, your right to use the Services will immediately cease.

11.2 Termination by Us

We may suspend or terminate your account and access to the Services at our sole discretion, without notice, for any reason, including if we believe you have violated these Terms. We may also terminate inactive accounts.

11.3 Effect of Termination

Upon termination, all licenses and rights granted to you in these Terms will immediately cease. We may delete your account and User Content. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. Disclaimers

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

We do not warrant that the Services will be uninterrupted, secure, or error-free, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components.

We do not warrant or make any representations regarding the use or the results of the use of the Services in terms of their correctness, accuracy, reliability, or otherwise. You assume all risk for any damage to your computer system or loss of data that results from obtaining any content from the Services.

13. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO EVENT SHALL YOUR DIASPORA HUB, ITS AFFILIATES, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:

  • Your access to or use of or inability to access or use the Services
  • Any conduct or content of any third party on the Services
  • Any content obtained from the Services
  • Unauthorized access, use, or alteration of your transmissions or content

OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THE SERVICES SHALL NOT EXCEED THE GREATER OF $100 OR THE AMOUNT YOU PAID US IN THE TWELVE MONTHS PRECEDING THE CLAIM.

14. Indemnification

You agree to indemnify, defend, and hold harmless Your Diaspora Hub, its affiliates, and their respective officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Services, your User Content, or your violation of these Terms.

15. Dispute Resolution and Arbitration

15.1 Informal Resolution

Before filing a claim, you agree to try to resolve the dispute informally by contacting us at hello@yourdiasporahub.com. We will attempt to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 30 days of submission, you or we may bring a formal proceeding.

15.2 Arbitration Agreement

You and Your Diaspora Hub agree that any dispute arising out of or relating to these Terms or the Services will be resolved through binding arbitration, rather than in court, except that you may assert claims in small claims court if your claims qualify. The Federal Arbitration Act governs the interpretation and enforcement of this arbitration agreement.

15.3 Class Action Waiver

YOU AND YOUR DIASPORA HUB AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN YOUR OR ITS INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS OR REPRESENTATIVE PROCEEDING.

16. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of [Insert State/Country], without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms will be brought exclusively in the federal or state courts located in [Insert Jurisdiction], and the parties hereby consent to personal jurisdiction and venue therein.

17. General Provisions

You may not assign or transfer these Terms or your rights hereunder, in whole or in part, without our prior written consent. We may assign these Terms at any time without notice or consent.

17.5 Force Majeure

We shall not be liable for any failure to perform our obligations hereunder where such failure results from any cause beyond our reasonable control, including technical failures, natural disasters, or acts of God.

17.6 Export Controls

You may not use, export, or re-export the Services except as authorized by United Kingdom law and the laws of the jurisdiction in which the Services were obtained. You represent and warrant that you are not located in a country subject to a UK Government embargo or designated as a ‘terrorist –supporting' country, and that you are not listed on any UK Government list of prohibited or restricted parties.

17.7 Notices

We may provide notices to you via email, regular mail, or postings on the Services. You agree that any notices provided by us electronically satisfy any legal requirement that such communications be in writing.
